Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the Teamco application ("Service"), you ("Merchant", "you") agree to be bound by these Terms of Service. If you do not agree, do not install or use the Service.

These terms apply to Shopify merchants who install Teamco. End-users (employees) access the Service under the Merchant's authority and the Merchant is responsible for ensuring their compliance.

2. Service Description

Teamco is a Shopify application that provides B2B employee purchasing portals. The Service enables Merchants to create companies with employees who can browse restricted product catalogs, place orders within budget limits, and follow configurable approval workflows — all within the Merchant's Shopify store.

3. Account Responsibilities

As a Merchant using Teamco, you are responsible for:

• Maintaining a valid Shopify store with an active subscription
• The accuracy and legality of all data you enter into the Service
• Managing employee access, roles, and permissions
• Ensuring your use of the Service complies with applicable laws, including data protection regulations
• Informing your employees about how their data is processed through the Service

4. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or to facilitate illegal transactions
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Interfere with, disrupt, or overload the Service infrastructure
• Circumvent security measures, rate limits, or access controls
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to send spam or unsolicited communications
• Introduce malicious code, scripts, or automated access tools

5. Billing and Payment

All subscription fees are billed through Shopify's App Billing system. Shopify handles all payment processing, invoicing, and refunds according to their terms. We do not directly collect or store payment information.

By subscribing, you authorize Shopify to charge the applicable fees to your Shopify account. Subscription fees are billed monthly in advance.

6. Plans and Pricing

Teamco offers the following plans:

All plans include a 14-day free trial. No credit card is required to start a trial. We reserve the right to modify pricing with 30 days' written notice.

7. Data Ownership

You retain full ownership of all data you input into the Service, including company information, employee records, order data, and catalog configurations. We act as a data processor on your behalf and process your data solely to provide the Service.

8. Intellectual Property

All rights, title, and interest in the Service — including its code, design, branding, documentation, and underlying technology — remain the exclusive property of Gezar and its licensors.

You retain ownership of your content (company data, employee information, product configurations). By using the Service, you grant us a limited license to process your content solely to operate and improve the Service.

9. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEZAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service depends on third-party infrastructure (Shopify, hosting providers) and may experience downtime for maintenance, updates, or circumstances beyond our control.

We do not offer formal SLA guarantees. For planned maintenance, we will endeavour to provide advance notice when possible.

11. Termination

Either party may terminate this agreement at any time. You may terminate by uninstalling the Teamco app from your Shopify store. We may terminate or suspend your access if you breach these Terms or if required by law.

Upon termination, your data will be retained for 30 days to allow export. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy and applicable data protection laws.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or through the Service before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
